A verified complaint was filed in the Fifth Judicial District Court in Washington County, Utah, by individual homeowners against multiple defendants, including The Ledges of St. George Master Owners Association, Inc., Valderra Development entities, Valderra Land Holdings, LLC, and individual board members.

  • Preserved or restored declarant influence within the homeowners association

  • Limited meaningful participation by property owners

  • Allowed association funds to be used for purposes that primarily benefited developer-related commercial interests rather than association purposes


The complaint also alleges that defendants failed to provide timely and complete access to financial records, legal expenditures, and governance documentation requested by homeowners.

Additional allegations include:

  • Use of association funds for legal work related to trademark or branding disputes

  • Lack of transparency regarding approximately $160,000 in legal expenditures

  • Failure to comply with statutory requirements for records access and open board meetings under Utah law


The complaint asserts a dispute over whether declarant control of the association had legally terminated.

Plaintiffs allege that declarant control should have ended no later than October 30, 2022, based on statutory provisions governing termination of declarant authority.

The filing further references actions taken in May 2025, including assignments of declarant rights and amendments to governing documents, which plaintiffs allege were intended to extend or restore declarant control.
